These rules (the "Rules") are established for the proper functioning and management of The Snail Club (the "Club"), a private members’ club, owned and operated by The Snail Restaurant Limited (the “Proprietor”) and located upstairs at L’Escargot, 48 Greek Street, London, W1D 4EF (the “Premises”). These Rules are in accordance with English law and are intended to ensure a harmonious and enjoyable environment for all members and guests. By becoming a member of the Club, individuals agree to abide by these Rules.

1. Club Name and Motto

The name of the club is “The Snail Club”, and the club motto is “Slow and Sure”.

2. Object of the Club

The object of the Club is the provision of facilities and amenities for the purpose of facilitating the social intercourse of persons with a liberal attitude to the arts and sciences (the “Objects").

3. Primary Concepts

3.1 The Proprietor is responsible for providing the Club with the Club premises and all necessary facilities for carrying out the Club activities in accordance with the Objects and these Rules.

3.2 The Membership shall consist of Members being persons over the age of 21 years, who have paid the joining fee and annual subscription, or those invited by the Club Management as Honorary members in recognition of their service to the Club (hereinafter called “Members” and “Membership” and construed accordingly) and whose admittance is authorised by the Membership Committee.

3.3 These Rules shall be applicable to all Members and as appropriate, members’ guests.

4. Membership Committee

4.1 The Membership Committee shall have all administrative powers necessary to carry out the Objects of the Club in accordance with these Rules.

4.2 The Membership Committee shall be appointed by the Proprietor from time to time (the “Membership Committee”).

4.3 The names of the members of the Membership Committee will not be disclosed and will remain confidential. The Membership Committee shall meet at least once a month.

4.4 The Membership Committee shall exercise the powers given to it under these Rules together with other such powers of management it may from time to time undertake at the request of the Proprietor, who may veto or vary any decision of the Membership Committee.

5. Membership

5.1 Every candidate for Membership must be at least 21 years of age.

5.2 Applications for Membership shall be made in writing on the form provided for that purpose by the Club and a valid form of identification will be required to verify eligibility for Membership.

5.3 All applications must be accompanied with a photo with a clearly visible and recognisable face of the candidate; photos of low quality, with sunglasses, face covered by garments or hair, full figure or sports/action shots, unrecognisable due to the age of photo, etc., will not be accepted.

5.4 Every candidate for Membership shall be supported by a proposer and a seconder, both of whom shall be fully paid-up members of the Club. The proposer and seconder may be required by the Committee to send a letter in support of a candidate stating how long they have known the candidate and giving relevant information in support of their belief that the candidate is qualified for Membership.

5.5 Candidates for membership shall become members once affirmed by the membership committee and once payments of their joining fee and first annual membership fee have been made to the Proprietor.

5.6 Joining fees and annual fees (subscriptions) are non-refundable.

5.7 Membership is terminated if annual fees and/or any other debts owed to the Proprietor incurred by a member are not cleared within 30 days.

5.8 The annual membership fee shall be fixed by the Proprietor.

5.9 In exceptional circumstances and with the prior approval of the Proprietor annual subscription fees may be paid in 12 equal monthly instalments by direct debit.

5.10 Membership is non transferable.

5.11 In the event of membership being cancelled or withdrawn no membership fee (or part thereof) or any other payment made to the Proprietor shall be refunded.

5.12 The Proprietor may, at its discretion, waive or reduce the subscription of any member.

5.13 The Membership Committee shall have sole discretion as to who shall become a Member of the Club and shall have the right to refuse any application for Membership for any reason without giving any explanation.

5.14 A successful candidate shall be notified of his/her election and shall become a Member of the Club and shall thereafter be entitled to all the benefits and privileges of such Membership. Members will be issued with a Membership card (which shall remain the property of the Club).

5.15 All Members agree to be bound by, and to observe at all times, these Rules.

5.16 Any omission from, or inaccuracy in, the particulars relating to, or the description of, any candidate for Membership may render the candidate’s election void at the discretion of the Membership Committee.

5.17 Members shall have the right to propose potential candidates for the Membership Committee’s consideration. The Membership Committee’s decision shall be final and binding and the Membership Committee will not enter into any correspondence.

5.18 A list of the names and addresses of all Members of the Club must be kept on the Club premises and produced on demand for inspection by a police officer. By accepting Membership, all Members expressly agree that their personal information shall be subject to this Rule and shall be used by the club for its operational purposes without infringing in any way their privacy.

5.19 The Membership Committee reserves the right, in its absolute discretion, to terminate the Membership of any Member for any reason and at any time.

5.20 The name of a Member whose Membership is terminated will be removed from the list of registered Members and he/she will immediately cease to be a Member of the Club.

5.21 Members must produce their membership card upon admission.

5.22. Use of mobile phones and laptops is discouraged within the Club. Members should refrain from conducting business calls or using electronic devices for work while at the club, and should have all their mobile devices turned to silent mode.

6. Guests

6.1 Members may entertain up to three guests, who have attained the age of 18 years, at any one time. If additional guests are required, the member should phone in advance and request permission from the manager on duty; such permission will only be granted when the club has sufficient space available for their accommodation.

6.2 Members must accompany their guests at all times, and whilst non-members may purchase food and beverages when accompanied by a member, they will not be permitted to remain in the Club once their sponsor has departed.

6.3 The guest of a Member must sign and write his/her name in the book supplied for that purpose and may be required to provide a valid form of identification.

6.4 The following may not be admitted as guests to the Club:

a) Former Members who have been expelled;

b) Persons who, having applied for Membership, have been rejected

c) Members who are under suspension

d) Person/s who are under 18 years old

e) Person/s who are in the opinion of the manager on duty intoxicated

e) Any other such person that the management decides

6.5 All Guests must abide by these Rules.

7. Conduct of Members

7.1 The Membership Committee, or any person(s) designated by the Membership Committee, shall have the right to refuse any Member or guest admission to the Club.

7.2 Members are expected to treat fellow members, their guests, and members of staff with respect and to avoid any conflict between them; if such a conflict has occurred, they are expected to extinguish it at the earliest opportunity. Those responsible for any furtherance of such a conflict may be expelled from the club.

7.3 Whilst there is no formal dress code, Members and guests are expected to maintain an acceptable standard of dress and behaviour, conducive to and appropriate with the Objects and quality of the Club. Baseball caps, vests and obvious sportswear is not allowed.

7.4 The Membership Committee may require any Member infringing these Rules to leave the Club premises immediately and his/her Membership may be withdrawn.

8. Expulsion of Members

8.1 The Membership Committee, or a Club manager so authorised by the Membership Committee, may expel from the Club, and subsequently suspend or terminate the Membership of any Member whose conduct inside or outside the Club premises, might be injurious to the character or interests of the Club.

8.2 For the avoidance of doubt, the following non-exhaustive list of behaviours or offences will lead to the immediate expulsion of a Member from the Club premises and may lead to suspension or termination of their Membership:

a) Violent, abusive or intimidating conduct towards members, guests or staff

b) Sexual, racial or any other form of discrimination, harassment or bullying towards any other Member, guest or employee of the Club

c) Rudeness or foul language expressed to a Member, guest or employee of the Club

d) Any action likely to bring the Club into disrepute

e) Any action likely to jeopardise the Club’s Premises Licence

f) Serious misconduct whilst under the influence of alcohol

g) Wilful or deliberate damage to Club property, that of another Member of guest of member

h) Illegal gaming or betting in the Club

i) Bringing onto the Club premises or consuming on the Club premises non-prescription drugs

i) Any action, within or outside the Club, likely to cause a disturbance to residents in neighbouring properties

8.3 Before a Member is expelled, the Membership Committee will examine his/her conduct and he/she will be given the opportunity to defend their actions. Having inquired into the events, if the Membership Committee is of the opinion that the Member is guilty of such misconduct and has failed to justify or explain it satisfactorily, the Committee will terminate the Membership of the offending member; The Committee’s decision is final.

8.4 If membership is withdrawn for any of the reasons set out in these Rules, the Club may retain the joining and annual membership fee paid to date of withdrawal of membership.

9. Hours of Opening

9.1 The Club will be open to Members and their guests between the hours of 10am and 1am Tuesday – Saturday. These hours may be lengthened or shortened at the discretion of the Membership Committee, subject to any additional statutory or other consent.

9.2 The Club is closed on public holidays and between 24th December and 3rd January.

10 General Rules

10.1 The Club shall use all reasonable endeavours to ensure that no Member receives less favourable treatment on the grounds of their sex, race, religion or belief, disability, marital status, age, sexual orientation, nationality, colour or ethnic origin.

10.2 The Club and/or Proprietor and/or Membership Committee and/or any employee or agent of the Club will not be held liable for any act of omission made by any Member and/or Guest and will be held harmless from any loss or damage arises to any Member and/or Guest whatsoever.

10.3 Nothing in these Rules and Regulations shall be deemed to exclude the Club’s liability for death and/or personal injury arising out of any negligent or unlawful act by the Club.

10.4 All property brought into the Club premises by any Member or his/her guest shall be at the sole risk of the person bringing such property onto the Club premises and neither the Proprietor, the Membership Committee nor any employee or agent of the Club shall be liable for any loss or damage to any such article.

10.5 By becoming a Member it is acknowledged that any personal information ("Personal Information") that Members and/or their guests make available to the Club either through the Membership process, access to the Club, and/or the Club web site or otherwise is done so voluntarily and with the relevant Member’s / guest’s knowledge and consent. The Club will respect the confidence the Members place in it, and is committed to maintain the high standards required by Data Protection Act 1988.

10.6 The Club takes Members’ rights to privacy very seriously. The Club employs the use of CCTV cameras and operates them within a strict Code of Practice. The system has been fitted with ‘privacy zones’ to ensure that private areas cannot be looked into. The system operates within the guidelines laid down by the Information Commissioner. The system is operated in accordance with the Human Rights Act 1998, the Regulation of Investigatory Powers Act 2000 and the Freedom of Information Act 2000. Images recorded by the CCTV cameras are retained for 31 days and are then wiped unless required for an on-going investigation by an enforcement agency. No images are provided for commercial, entertainment or any other purposes.

11 Alteration of rules

These Rules may be revoked, supplemented or altered by the Membership Committee at any time at its sole discretion. Any such revocation, alteration or addition shall be deemed to have been brought to the notice of Members provided that a copy thereof is prominently displayed on the Club’s official website.

12 Dissolution

The Proprietor may dissolve the Club at any time at its sole discretion.

13 Disputes

Any dispute which may arise in respect of these Rules and / or in relation to Membership or the operation of the Club shall be determined by the Membership Committee, whose decision shall be final and binding on all Members.
